GagePilot terms of service
These Terms are a binding agreement between you or the organization you represent (“Customer”) and Tech Labs, Inc. (“Tech Labs,” “we,” “us,” or “our”) governing GagePilot, a subscription software service for managing internal calibration records.
Authorized use
Customer may use the Service for its internal business purposes and is responsible for all users under its account, its credentials, and the accuracy, legality, and rights to Customer Data. Customer must not misuse the Service, bypass access controls, interfere with the Service, reverse engineer it except where law prohibits restriction, or upload unlawful or infringing content.
Customer Data and service limits
Customer retains its rights in Customer Data. Customer grants Tech Labs the limited right to host, process, transmit, and back up Customer Data solely to provide, secure, support, and improve the Service. GagePilot is not a calibration laboratory, does not perform calibrations, and does not certify compliance with ISO, FDA, OSHA, or any other standard. Customer remains responsible for its quality system, decisions, records, and regulatory obligations.
Subscriptions, trials, and payment
Subscriptions renew monthly or annually until cancelled through the billing portal. Fees are billed in advance and are non-refundable except where law requires otherwise. A trial may be offered without payment details and may be changed or withdrawn at our discretion. We may change future fees with at least 30 days’ notice. Payments are processed by Stripe; Tech Labs does not store payment-card details.
Confidentiality
Each party will protect the other’s non-public confidential information using reasonable care and use it only to perform under these Terms. This does not apply to information independently developed, lawfully received without restriction, publicly available without breach, or required to be disclosed by law.
Availability, support, and changes
We may maintain, modify, or discontinue features and will use reasonable efforts to provide notice of material adverse changes. The Service is provided “as is” and “as available” to the maximum extent permitted by law. We do not warrant uninterrupted, error-free, or risk-free operation.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, punitive, or lost-profit damages. Tech Labs’ aggregate liability arising from the Service will not exceed the fees paid by Customer for the Service in the 12 months before the event giving rise to liability. These limits do not apply where prohibited by law.
Indemnity and termination
Customer will defend and indemnify Tech Labs and its personnel against third-party claims arising from Customer Data or Customer’s unlawful use of the Service. Either party may terminate for material breach not cured within 30 days; Tech Labs may suspend access for security, legal, or payment reasons. On termination, Customer may export available Customer Data during the applicable retention period.
General
These Terms are governed by Washington law, excluding conflict-of-law rules, and disputes will be brought in courts located in King County, Washington, unless applicable law requires otherwise. If a provision is unenforceable, the remainder remains effective. We may update these Terms by posting a revised version; material changes take effect after reasonable notice.
